What you are buying, what you keep, and what happens if we go away.

This page was drafted by the person who built the product, not by a lawyer. It must be reviewed before the first paid sale, and this notice stays here until it has been.

What these terms cover. They govern the SoftBo hub licence bought from this website. They do not govern our apps bought from the Apple App Store or Google Play — those are sold by Apple and Google under their own terms, and refunds for them are handled by the store you bought from, not by us.
What you subscribe to
A subscription covers one hub — the single machine that holds your data — and includes five mobile companion licences for phones paired to it, all able to count at the same time.
It is a subscription because two things cost us money every year: keeping the connectors to Xero, QuickBooks and Shopify working as those systems change, and running the cloud that holds your connection keys. Those are what you are paying for, and they are exactly what stops if you leave.
Your subscription is tied to your account rather than to a machine, and the hub can be moved between machines. It is not transferable to another owner, except where the whole business is transferred, in which case write to us and we will move it.
What you keep when you stop
Once you have paid for twelve consecutive months, the version of SoftBo you hold at that point is yours to keep. If you later stop subscribing, we give you a build of that version with the cloud removed — not switched off, removed.
It has no sign-in, no licence check and nothing that expires, because there is nothing left to check. It keeps counting on your hub, with your five companion phones on your own network, for as long as the machine runs. Nobody at SoftBo can switch it off, because there is no longer anything to switch off with.
The twelve months must be paid months. A free trial does not count toward them, and cancelling before the twelve are complete means there is nothing to hand over.
What you lose is what the money was paying for: the connectors, the cloud, new versions, and any extra companion seats you were renting. What you keep is counting, printing, exporting, your data, and five phones.
What an update includes
Two different things travel under the word "update", and they have different rules.
New versions and new features. These arrive for as long as you subscribe. Every release, including major versions — we do not hold a feature back behind a separate purchase you would have to make again.
Security fixes, and fixes that keep your version working. While you subscribe, these arrive too. After you stop, the build you keep is the build you keep — it goes on working, but it stops receiving changes of any kind.
If you are a consumer, your statutory rights to updates that keep the software in conformity apply in addition to this and are not limited by it.
Machines and phones
One hub at a time. Moving to a new machine releases the old one. Reinstalling on the same machine consumes nothing, and a machine you have replaced can be released from your account page without writing to us.
Five phones are included, and all five can count at the same time. Unpairing a phone frees its place immediately, so replacing a phone costs nothing and needs no permission.
More phones can be rented by the month, from your account page, and cancelled whenever you like — a shop that takes six extra phones for a January count and drops them in February is using them exactly as intended. Rented phones end when your subscription ends; the build you keep carries the five that were included, not the ones you were renting.
If you reach either limit, the app tells you which machines or phones are active and offers to release one. You will not meet an error code.
The free trial
One month, free, and we do not ask for a card. Nothing starts charging at the end and there is nothing to cancel.
The trial is the whole product, not a reduced one. When the month ends, SoftBo stops starting new counts until you subscribe.
Your data stays exactly where it is. It is a file on your machine, it is not deleted when the trial ends, and it opens again the moment you subscribe. We do not hold it hostage, because we never held it at all.
What it costs
SoftBo Desktop — €49 a month, or €490 for your first year and €390 for each year after. Paying yearly is cheaper because it is ten months' price for twelve months' use.
Extra companion phones — €5 a month each, or €20 a month for five, or €35 a month for ten.
The offline edition — €299, once. See below.
Payments are handled by Stripe. We are the seller; Stripe processes the payment for us. Your card details go to Stripe and never reach us.
No VAT is charged, for the reason given at the top of this page. An invoice is issued for every payment and is on your account page. We keep a copy for as long as Slovak accounting law requires, which is why closing your account does not delete your invoices.
When the price can change
Your price is fixed for the period you have paid for. It never changes in the middle of a month or a year you have already bought.
We may adjust the renewal price once in any twelve-month period, and never by more than the Harmonised Index of Consumer Prices for Slovakia for the preceding calendar year, plus five percentage points. If that index is negative, your price falls by the same measure.
And there is a limit on the whole thing: your price will never be more than 25% above the price you first paid, adjusted for that index, for as long as your subscription runs unbroken.
We will tell you at least 60 days before any change, and you may cancel before it takes effect at no cost.
Your price does not go up because the product got better. When we build something genuinely new and expensive to run, we offer it to you as something you can choose. We do not put it in your renewal and call it an increase.
These limits bind us and anyone who ever acquires this business.
How it reaches you
By download, and your licence by email, immediately on payment. There is nothing to ship and nothing to wait for.
Because delivery is immediate, we ask you at checkout to confirm that you want it immediately. If you are a consumer, that confirmation ends your statutory right of withdrawal — the next section explains exactly what that means, and what we give you instead.
Cancelling and refunds
Cancel whenever you like, from your account page. Not by email, not by asking us, and not by talking to anybody. Your subscription then runs to the end of the period you have already paid for and stops.
Thirty days, no questions. If SoftBo is not what you expected, write to us within 30 days of your first payment and we will refund it in full. We do not ask why. There is no restocking fee, no partial refund and no store credit. This applies to your first payment, not to later renewals — by then you have had a year to decide.
If you are a consumer, you also have a statutory right of withdrawal — 14 days from purchase, without giving a reason, under Act No. 102/2014 Coll.
Software delivered immediately is an exception to that right. SoftBo is delivered the moment you pay, so subscribing means asking for it immediately and confirming that you understand you are giving that right up. There is a checkbox at checkout saying exactly that. It is not ticked for you, and you cannot complete a purchase without it.
We would rather say plainly what you get in exchange than leave you to work it out. Our own 30-day refund above is unconditional, and it is longer than the 14 days you are giving up. You will also have had a free month before you pay anything at all.

The offline edition
If you never want us in the loop at all, there is a version you buy once, for €299, with no cloud in it from the first day. No sign-in, no connectors, nothing leaving your machine. Just you, the app and five phones.
It is the same build that every subscriber eventually receives when they stop paying. You are simply starting there.
What it includes: the version current when you buy it, and security fixes. Not new features, and not the connectors — there is nowhere for them to connect to.
Support: twelve months included from purchase, and after that we will still help where we can, but we do not promise to. We would rather tell you that now than when you write to us in year four.
The same 30-day refund applies.
If SoftBo changes hands or stops
If the business is sold, licences transfer with it and these terms continue unchanged.
If it closes, we publish the cloudless build to everybody, whether or not they have completed twelve months, and we are committing to that here, in advance. It works with no server, no key and nobody at SoftBo left to ask.
You do not have to take that on trust. It is the same build we already give every customer who stops subscribing, so it is in use rather than sitting in a drawer waiting for a day nobody wants.
The architecture already answers most of this: your data is a file you hold, in a format that opens without us, and your licence verifies without a network. A company that disappears cannot take your stock records with it. That last paragraph exists so the one thread back to us — the monthly check — is cut deliberately rather than left dangling.
What is not warranted

Note for whoever drafts it: SoftBo writes to a customer's system of record, so the boundary between "our software wrote the wrong number" and "the count itself was wrong" needs stating carefully. A blanket exclusion is not credible for a stocktaking product; an unlimited one is uninsurable.]
Whatever that section ends up saying, nothing in it limits our liability for death or personal injury, for fraud, or for anything Slovak law does not permit to be limited. If you are a consumer, your statutory rights come first and these terms come second.
Governing law and complaints
These terms are governed by the law of the Slovak Republic, and the Slovak courts have jurisdiction.
If you are a consumer living elsewhere in the EU, this does not take away the protection of the mandatory rules of your own country, and you may bring a claim in your own courts.
Our supervisory authority for consumer matters is the Slovenská obchodná inšpekcia, Inšpektorát SOI pre Bratislavský kraj, Bajkalská 21/A, 827 99 Bratislava.
Consumers may also use alternative dispute resolution under Act No. 391/2015 Coll., free of charge. The list of authorised bodies is published by the Ministry of Economy of the Slovak Republic.
Before any of that, please just write to us. One person reads that mailbox and would much rather fix the problem than read about it from an inspectorate.
Model withdrawal form
Only for consumers, and only if you kept your right of withdrawal. You do not have to use this form — an email saying the same thing is equally valid.
